The Board of Directors of Citycon Oyj has in its meeting of 7 September 2012 resolved to cancel 600 bonds, repurchased by the company on 20 July and 13 August 2012, from its subordinated convertible bonds issued on 2 August 2006 in accordance with section 7 (g) of the terms and conditions of the convertible bonds. Citycon announced the repurchases on said dates.

 

 Following the cancellation, the number of issued and outstanding bonds under the convertible bonds amounts to 825 and the maximum number of Citycon shares that can be subscribed for on the basis of such bonds amounts to 9,821,428. As a result of the cancellation, the maximum increase of Citycon’s share capital on the basis of the convertible bonds decreased from EUR 22,901,784.75 to EUR 13,258,927.80. Above mentioned amendments to Citycon’s convertible bonds were registered in the Trade Register today, 21 September 2012.

 

 Due to the ongoing rights offering pursuant to the pre-emptive subscription right of shareholders, Citycon’s Board of Directors has on 7 September 2012 decided to adjust the conversion price of the convertible bonds from EUR 4.20 to EUR 4.05, provided that the rights offering is executed in full as described in the terms and conditions of the rights offering. The new conversion price will be effective as of 2 October 2012. Provided that the new conversion price becomes effective, the total number of shares that can be subscribed for on the basis of the convertible bonds is 10,185,185 and the maximum increase of Citycon’s share capital as a consequence of such subscriptions is EUR 13,749,999.75.
